1. Introduction

1.1 These Terms and Conditions ("Terms") govern the use of the website www.guruved.in ("Website") and the purchase of products through it.

1.2 The Website is owned and operated by Guruved Ayurveda Healthcare, a partnership firm registered under the Indian Partnership Act, 1932, having its principal place of business at Rampura Road, Near Aman Traders, Bhawanigarh, District Sangrur, Punjab 148026 ("Guruved Ayurveda", "the Firm", "we", "us" or "our").

1.4 By accessing the Website, creating an account, or placing an order, you ("you", "your", "the Customer") agree to be bound by these Terms, together with our Privacy Policy, Shipping and Delivery Policy, Returns, Refunds and Cancellation Policy, and Disclaimer, each of which is incorporated herein by reference. If you do not accept these Terms, you must not use the Website.

1.5 These Terms constitute an electronic record within the meaning of the Information Technology Act, 2000 and the rules framed thereunder. No physical or digital signature is required.

2. Definitions

2.1 "Order" means a request submitted by you through the Website for the purchase of Products.

2.2 "Products" means the health supplements, nutraceutical preparations, Ayurveda Aahara products and allied goods offered for sale on the Website.

2.3 "Delivery Partner" means any courier, logistics service provider or aggregator engaged by us for delivery of Orders.

2.4 "Payment Partner" means any payment gateway, aggregator or processor authorised by the Reserve Bank of India and engaged by us to process payments.

2.5 "Content" means all text, graphics, photographs, illustrations, product descriptions, logos and other material displayed on the Website.

3. Eligibility

3.1 You must have attained the age of eighteen years and be competent to contract under the Indian Contract Act, 1872 in order to place an Order.

3.2 Persons below eighteen years of age may access the Website only under the supervision of a parent or lawful guardian, who shall be responsible for any transaction so undertaken.

3.3 You warrant that the information furnished by you at the time of registration or checkout is true, accurate and complete, and that the Products are purchased for personal consumption and not for resale, unless we have authorised such resale in writing.

3.4 We reserve the right to decline service, suspend or terminate any account, cancel any Order, or restrict access to the Website where we have reason to believe that these Terms have been contravened.

4. Account and Credentials

4.1 Certain features of the Website require registration. You are responsible for maintaining the confidentiality of your login credentials and for all activity undertaken through your account.

4.2 You shall inform us at gurvedayurveda1@gmail.com without delay upon becoming aware of any unauthorised use of your account.

4.3 We shall not be liable for any loss arising from your failure to keep your credentials secure.

5. Nature of the Products

5.1 The Products are food products regulated under the Food Safety and Standards Act, 2006 and the regulations framed thereunder, including the Food Safety and Standards (Health Supplements, Nutraceuticals, Food for Special Dietary Uses, Functional Foods, Novel Foods and Food Fortification) Regulations, 2022.

5.2 The Products are not drugs or medicines. They are not intended for the diagnosis, treatment, cure, mitigation or prevention of any disease. No statement appearing on the Website is to be construed as medical advice.

5.3 You are advised to consult a registered medical practitioner before consuming any Product, and in particular if you are pregnant, intending to become pregnant or lactating; are below eighteen years of age; are under medical treatment or taking prescription medication; have any known allergy, intolerance or pre-existing medical condition; or are scheduled to undergo surgery.

5.4 The recommended daily dosage stated on the label must not be exceeded. The Products are not a substitute for a varied and balanced diet or for a healthy lifestyle.

5.5 Results vary between individuals. We make no representation that any Product will produce any particular outcome for any person.

5.6 You are responsible for reading the label, ingredient declaration and directions for use printed on the pack before consumption. In the event of any inconsistency between the Website and the printed label, the printed label shall prevail.

5.7 The Products must be stored as directed on the pack and kept out of the reach of children.

6. Product Descriptions and Availability

6.1 We take reasonable care to describe the Products accurately. Photographs are indicative; actual packaging, colour and presentation may vary on account of photography, display calibration or periodic revision of packaging.

6.2 All Products are offered subject to availability. We may withdraw, discontinue or restrict the sale of any Product without prior notice.

6.3 We may limit the quantity that may be purchased in a single Order, by a single customer, or to a single address.

7. Price and Taxes

7.1 All prices are stated in Indian Rupees and are inclusive of Goods and Services Tax unless expressly stated otherwise.

7.2 Prices are subject to revision without notice. The price applicable to an Order shall be the price displayed at the time the Order is placed.

7.3 Shipping charges, cash on delivery handling charges and any other levies, where applicable, are displayed separately at checkout prior to payment.

7.4 The maximum retail price printed on the pack is inclusive of all taxes. Discounts, where offered, are computed on such maximum retail price or on our listed selling price, as indicated at the time of sale.

7.5 Should a Product be displayed at an incorrect price on account of a typographical or technical error, we shall be entitled either to seek your confirmation before dispatch or to cancel the Order and refund any amount received in full.

8. Orders and Formation of Contract

8.1 The display of Products on the Website constitutes an invitation to offer and not an offer for sale.

8.2 The submission of an Order constitutes your offer to purchase. An automated acknowledgement issued by electronic mail, short message service or messaging application confirms receipt of the Order and does not amount to acceptance.

8.3 A contract is concluded only upon dispatch of the Product and issuance of a dispatch confirmation by us.

8.4 We may decline or cancel any Order in whole or in part, including where the Product is unavailable; there is an error in price or description; the delivery address is not serviceable; verification of a cash on delivery Order is unsuccessful; we have reason to suspect fraud, misuse or unauthorised resale; or delivery is restricted by law or by direction of any competent authority.

8.5 Where an Order is cancelled by us after payment has been received, the amount shall be refunded in accordance with the Returns, Refunds and Cancellation Policy.

9. Payment

9.1 Payment may be made by such methods as are displayed at checkout, which may include Unified Payments Interface, debit cards, credit cards, net banking, wallets and cash on delivery.

9.2 Online payments are processed by Payment Partners authorised by the Reserve Bank of India. Your use of such services is additionally governed by the terms and privacy policy of the relevant Payment Partner.

9.3 We do not collect, store or have access to your complete card number, card verification value, personal identification number, Unified Payments Interface personal identification number, net banking password or one-time password. No representative of the Firm shall request such particulars from you. Card credentials, where retained, are tokenised by the Payment Partner in accordance with directions issued by the Reserve Bank of India.

9.4 Where a payment fails, the Order shall not be processed. Where an amount has been debited but the Order has not been confirmed, the amount is ordinarily reversed by the issuing bank within five to seven working days. Should the amount not be reversed, you may write to us with the transaction reference and we shall assist in tracing the transaction with the Payment Partner.

9.5 Cash on delivery, where offered, may be subject to a handling charge displayed at checkout, to limits on Order value, to eligibility of the delivery pin code, and to confirmation of the Order by telephone or messaging application prior to dispatch. We reserve the right to withdraw the cash on delivery facility in respect of any Order, address or customer, including where previous Orders have been refused or returned undelivered.

9.6 Cash on delivery Orders must be paid in full, in cash, to the Delivery Partner at the time of delivery. Part payment shall not be accepted.

9.7 Any charges levied by your bank or card issuer shall be borne by you.

10. Delivery

10.1 Delivery timelines, charges, serviceable areas and the treatment of failed deliveries are set out in the Shipping and Delivery Policy, which forms part of these Terms.

10.2 Delivery timelines are estimates and are not guaranteed. We shall not be liable for delays occasioned by the Delivery Partner, by incorrect or incomplete address particulars, by the unavailability of the recipient, by regional restrictions, or by circumstances beyond our reasonable control.

10.3 Risk in the Products shall pass to you upon delivery at the address specified in the Order, or upon delivery to any person at such address who accepts the consignment.

10.4 We deliver within the territory of India only. International Orders are not accepted.

11. Returns, Refunds and Replacement

11.1 The Products being consumable food products, and having regard to considerations of hygiene, consumer safety and product integrity, returns and exchanges are not accepted on grounds of change of mind, incorrect selection, or dislike of taste, texture or appearance.

11.2 Returns are accepted, and a refund or replacement at your election is offered, where the Product delivered is damaged in transit; is received in a tampered condition or with the seal broken; is not the Product, variant or quantity ordered; has expired or carries insufficient residual shelf life at the time of delivery; or suffers from a manufacturing defect.

11.3 Claims under Clause 11.2 must be raised within seven days of delivery, accompanied by the evidence specified in the Returns, Refunds and Cancellation Policy, including a continuous and unedited recording of the unboxing of the sealed consignment.

11.4 Nothing in these Terms derogates from your rights under the Consumer Protection Act, 2019 and the Consumer Protection (E-Commerce) Rules, 2020 in respect of goods that are defective, deficient or spurious, or that do not conform to the description under which they were sold.

12. Promotions and Discount Codes

12.1 Discount codes, coupons and promotional offers are valid only for the period, quantity and conditions specified, and may be withdrawn or varied at any time.

12.2 Unless expressly stated, offers may not be combined, are not transferable, carry no cash value, and may not be applied to Orders already concluded.

12.3 Where an Order is cancelled or returned, any discount or promotional benefit availed shall stand forfeited, and the refund shall be computed on the amount actually paid.

12.4 We may void any Order or discount code where misuse, unauthorised sharing, bulk redemption or fraudulent activity is detected.

13. Intellectual Property

13.1 All Content on the Website, including the mark "Guruved Ayurveda", the logo, product names, packaging design, photographs, illustrations and written copy, is owned by or licensed to the Firm and is protected under the Copyright Act, 1957, the Trade Marks Act, 1999 and other applicable law.

13.2 You may view, download and print Content solely for personal and non-commercial use.

13.3 You shall not reproduce, republish, distribute, sell, modify, reverse engineer, scrape or create derivative works from any Content without our prior written permission.

13.4 The use of our marks or brand assets in any advertisement, comparison, resale listing or marketplace listing without written authorisation is prohibited.

14. Prohibited Conduct

14.1 You shall not use the Website for any unlawful or unauthorised purpose; place false, speculative or fraudulent Orders, including by repeated refusal of cash on delivery consignments; impersonate any person or misrepresent your affiliation; transmit any virus or malicious code; attempt unauthorised access to the Website or to the data of any other user; employ automated means to access or extract data from the Website; resell the Products without written authorisation; or publish any material that is defamatory, obscene, misleading or otherwise unlawful.

14.2 We may report any suspected unlawful conduct to the appropriate authorities.

15. Reviews and User Content

15.1 Where you submit a review, rating, photograph or comment ("User Content"), you grant us a non-exclusive, royalty-free, worldwide, perpetual and transferable licence to use, reproduce, adapt, publish and display such User Content in connection with our business, including in marketing material.

15.2 You warrant that the User Content is your own, is truthful, is founded on genuine use of the Product, and does not infringe the rights of any third party.

15.3 User Content must not attribute any medicinal, therapeutic or disease-related property to the Products.

15.4 We may moderate, edit for length, decline to publish or remove any User Content at our discretion.

16. Third Party Links and Services

The Website may contain links to, or integrate with, third party websites and services including Payment Partners, Delivery Partners, review platforms and analytics providers. We exercise no control over such third parties and accept no responsibility for their content, policies or practices. Any dealing between you and such third party is a matter solely between you and that party.

17. Disclaimer of Warranties

17.1 The Website and the Content are provided on an "as is" and "as available" basis without warranty of any kind, to the fullest extent permitted by law.

17.2 We do not warrant that the Website will be available without interruption, or that it will be free of error or of security vulnerability.

17.3 Information relating to ingredients, nutrition, wellness or Ayurveda appearing on the Website is provided for general information only and does not constitute medical, nutritional or therapeutic advice.

17.4 We disclaim liability in respect of any adverse effect arising from consumption of a Product otherwise than in accordance with the label instructions and recommended dosage, or without such medical consultation as is contemplated by Clause 5.3.

18. Limitation of Liability

18.1 To the fullest extent permitted by law, our aggregate liability arising out of or in connection with any Order or your use of the Website shall not exceed the amount actually paid by you in respect of the Order giving rise to the claim.

18.2 We shall not be liable for any indirect, incidental, special, consequential, punitive or exemplary loss, including loss of profit, loss of opportunity, loss of data or business interruption.

18.3 Nothing in this Clause excludes or limits any liability which cannot lawfully be excluded or limited, including liability arising under the Consumer Protection Act, 2019.

19. Indemnity

You shall indemnify and keep indemnified the Firm, its partners, employees and agents against any claim, demand, loss, liability, cost or expense, including reasonable legal costs, arising out of your breach of these Terms, your violation of any law or of the rights of any third party, your misuse of the Products, or any User Content submitted by you.

20. Force Majeure

We shall not be liable for any failure or delay in performance attributable to any cause beyond our reasonable control, including act of God, natural disaster, epidemic or pandemic, fire, flood, strike, civil commotion, war, act of terrorism, cyber attack, failure of telecommunication or internet services, disruption of transport or courier services, regulatory action or governmental order.

21. Privacy

Personal data is collected and processed in accordance with our Privacy Policy, which forms part of these Terms.

22. Variation

22.1 We may amend these Terms at any time. The amended Terms take effect upon publication on the Website, and the date of last revision shall be updated accordingly.

22.2 Your continued use of the Website following such amendment constitutes acceptance of the amended Terms. The Terms applicable to any Order shall be those in force at the time the Order was placed.

23. Termination

We may suspend or terminate your access to the Website, or decline to process Orders, where we have reason to believe that these Terms or applicable law have been contravened. The provisions relating to intellectual property, disclaimers, limitation of liability, indemnity and governing law shall survive such termination.

24. Severability and Waiver

24.1 If any provision of these Terms is held to be invalid or unenforceable, such provision shall be severed and the remaining provisions shall continue in full force and effect.

24.2 A failure to enforce any provision of these Terms shall not operate as a waiver of that provision.

25. Governing Law and Jurisdiction

25.1 These Terms shall be governed by and construed in accordance with the laws of India.

25.2 Subject to Clause 25.3, the courts at Sangrur, Punjab shall have exclusive jurisdiction in respect of any dispute arising out of or in connection with these Terms.

25.3 The parties shall in the first instance endeavour to resolve any dispute through the grievance redressal mechanism set out in Clause 26.

25.4 Nothing in this Clause shall affect your right to approach a Consumer Commission constituted under the Consumer Protection Act, 2019.

26. Grievance Redressal

26.1 In compliance with the Consumer Protection (E-Commerce) Rules, 2020 and the Information Technology Act, 2000, the Grievance Officer nominated by the Firm is:

26.2 Complaints shall be acknowledged within forty-eight hours of receipt and shall ordinarily be resolved within one month of receipt.
